B.) it feels like a "tree falls in the woods" argument: any accredited investor SHOULD KNOW a securities contract is implied, but downstream it's magically NOT a security when the two parties are ignorant of SEC law?

      @functi0nZer0 @theashelina @divine_economy @Cointelegraph it's almost like she doesn't need to decide if it's a security per se (a hard question!) because whether it was or not it was before, it's DEFINITELY one when the issuer goes to institutions and says "here's our institutional price for this inherently speculative asset"
